Role Purpose

M&A is intended to continue playing a key part in Entain’s plans for growth. The sports betting and gaming industry has seen much consolidation in recent years. Consequently, whilst large, “transformational” M&A in mature markets is still anticipated in the near term, Entain is also focused on identifying smaller M&A targets in frontier and emerging markets. The continued focus of tax and regulatory authorities on the sports betting and gaming industry has also seen the commercial and structural aspects of M&A transactions become more complex.

To address the increased and complex M&A needs of the business, Entain Legal added to its M&A capabilities in 2020, hiring a senior lawyer into the newly created role of Group M&A and Corporate Strategy Counsel. As the business needs continue to grow in this area, Entain Legal now wishes to add to this capability through hiring further resource.

What you'll be doing:
  • Executing transactions across the capital structure, including acquisitions and disposals, joint ventures, and other strategic corporate transactions (the majority of which will be international in nature);
  •  Working with and managing external counsel on all workstreams associated with transaction execution, including:
  • Drafting and negotiating non-disclosure agreements, non-binding offer letters and heads of terms;
  • Instructing and managing external counsel on legal due diligence undertaken on target businesses and coordinating the review, input and sign-off of internal stakeholders from across group functions, including employment, regulatory, tax, property and commercial;
  • Working closely with colleagues from across the business collaboratively and constructively to achieve commercial deal objectives;
  • Supporting the preparation of internal papers summarising proposed transactions (and key risks associated with the same) for review and approval by the board of Entain plc;
  • Acting as a key "lynchpin" for both internal colleagues and external advisers (including external counsel) on M&A transactions;
  • Supporting the business on other corporate initiatives as required (including group reorganisations and restructurings); and
  •  Managing legal due diligence and associated reporting matters (including to the board of Entain plc);
  • Negotiating full form documentation with relevant counterparties;
  • Advising on, and supporting work required to satisfy, conditions precedent to closing of transactions (including regulatory change in control and anti-trust conditions);
 
Qualifications and Experience:
 
Essential:
  • A mid-senior UK qualified lawyer with a transactional corporate background with at least 4-5 years' PQE at a City law firm or in a similar in-house environment
  • Strong academic record (minimum 2:1 class degree)
  • Developed knowledge and experience of structuring, negotiating and executing Corporate/ M&A and joint venture transactions across the capital structure
  • Experienced in drafting and negotiating all customary documentation required in M&A transactional work
  • Experienced and commercially astute, able to challenge commercial proposals and devise alternative approaches that add value/ reduce risk
  • Able to interact with and effectively lead internal, cross-functional teams
  • Experienced in commercial negotiations, either direct or on behalf of clients, and able to understand commercial drivers and help the business to optimise its position through legal negotiations
  • Experienced at managing multiple transactions, often under pressure
  • Comfortable providing support to, and engaging constructively with, senior stakeholders, using strong influencing skills.
Desirable:
  • In-house or secondment experience of managing external counsel and partnering with internal, cross-functional teams
  • Cross-border transactional experience
  • Experience of corporate governance issues
  • Prior experience in consumer-led, technology driven and/or regulated businesses
  • Experience of the betting and gaming sector; or a comparable digitally-enabled, regulated business
  • A mid-senior UK qualified lawyer with a transactional corporate background with at least five years' PQE at a City law firm or in a similar in-house environment
